1. Acceptance of Terms & E-Commerce Status

By accessing or using the Wayy application, Creator Studio, or Partner CRM (the "Service"), you agree to be bound by these Terms of Service ("Terms"). Wayyverse operates as an Electronic Commerce Operator (ECO) under Section 24(ix) of the Central Goods and Services Tax (CGST) Act, facilitating digital marketplace transactions between travelers, content creators, and independent service providers.

2. Account Tiers and Eligibility

Users must be at least 18 years of age to initiate financial bookings or utilize the split-bill feature. The platform defines user roles as follows:

• Regular Traveler: Users utilizing the calendar, group chat, and booking tools.
• Trip Admin: The initiator of a specific trip group. The Admin retains exclusive authority to edit the master calendar, manage polls, and delegate editing permissions to other group members.
• Verified Creator: Influencers approved to publish monetized itineraries to the public marketplace, governed by the Wayyverse Creator Agreement.

3. Group Collaboration & Split-Bill Liabilities

Wayyverse provides integrated tools for group coordination, including the "Split-Bill" checkout mechanism.

• Joint Liability in Booking: A multi-party reservation is only confirmed and secured once all participating members have successfully fulfilled their individual payment links.
• Price Volatility: Wayyverse is not liable for inventory sell-outs, price fluctuations, or booking cancellations that occur due to delayed payments by any member of the Trip Group.

4. Creator Marketplace & Exclusivity

Verified Creators monetizing content via the Platform must adhere to the following stipulations:

• Commission Eligibility: Creators earn profit-sharing commissions strictly on bookings processed entirely through the Wayyverse platform.
• 90-Day Exclusivity: Any itinerary or monetized content published on the Platform is subject to a strict 90-day exclusivity window. Republishing identical monetized routes on competing platforms or soliciting direct bookings outside Wayyverse during this period constitutes a material breach, resulting in account suspension and forfeiture of accrued commissions.

5. Bookings, Fulfillment & Intermediary Disclaimer

Wayyverse aggregates inventory through third-party APIs and a direct Partner CRM.

• Independent Service Providers: All flights, surface transit, hotel accommodations, and regional activities are fulfilled by independent third-party vendors. Wayyverse acts solely as an intermediary.
• Limitation of Liability for Services: We do not guarantee the quality, safety, or exact punctuality of third-party services. Wayyverse is not liable for transit delays, substandard accommodations, personal injury, or operational closures.
• Algorithmic Pacing Engine: While our calendar algorithm suggests optimized pacing and manages 24-hour spillover logic based on real-world data, travelers are ultimately responsible for managing their physical fatigue, verifying local operating hours, and meeting transit boarding requirements.

6. Intellectual Property & User Content

• User-Generated Content: By uploading media or itinerary details, you grant Wayyverse a non-exclusive, royalty-free, worldwide license to store, display, and distribute this content for platform operations.
• Platform Architecture: The interactive calendar UI, the Pacing Engine algorithm, the Creator Studio, and all aggregated marketplace analytics remain the exclusive intellectual property of Wayyverse Travel Technologies Private Limited. Reverse-engineering, scraping, or commercial extraction of this architecture is strictly prohibited.

7. Limitation of Liability

To the fullest extent permitted by Indian law, Wayyverse Travel Technologies Private Limited, its directors, and officers shall not be liable for any indirect, incidental, punitive, or consequential damages. Our total aggregate liability for any claim shall not exceed the total convenience fees or net commissions directly retained by Wayyverse from your specific transaction in the three (3) months preceding the claim.

8. Account Termination & Non-Solicitation

We reserve the right to suspend or terminate accounts engaging in platform bypassing, fraudulent chargebacks, or violations of these Terms. Furthermore, Creators and B2B Partners are expressly prohibited from soliciting Wayyverse users to competing platforms during their active tenure and for twelve (12) months following termination.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal actions arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
